Article 1 (Scope)
These terms govern all matters between WeWave, Inc. ("we") and the advertiser regarding the advertising service "WeWave Ad" (the "Service").
Article 2 (Ad Inventory & Fees)
1. We display native ads on designated surf-spot detail pages.
2. The price is USD 100 per spot per month, billed via Stripe.
3. We do not refund or adjust for FX fluctuations.
Article 3 (Term & Renewal)
1. Each campaign month runs from the 1st through the last day of the month, in the surf spot's local time zone.
2. Campaigns launch on the 1st of the following month only when the creative is submitted at least 3 days before month-end.
3. Campaigns auto-renew monthly under the same terms until cancelled.
Article 4 (Cancellation)
1. No mid-month cancellations and no pro-rated refunds.
2. To stop future renewals, notify us via the dashboard or at ads@wewave.surf.
3. We do not accept cancellations during the month a campaign first launches.
Article 5 (Exclusive Placement)
1. Each surf spot is exclusive to a single advertiser at any given time.
2. If a spot is already taken by another advertiser, new applications for that spot are unavailable.
Article 6 (Creative Review)
1. All submitted images, copy, and landing-page URLs are subject to our review.
2. We may decline or request the replacement of creatives that:
(1) violate any law or regulation;
(2) infringe a third party's intellectual property;
(3) make materially false or exaggerated claims;
(4) relate to gambling, adult content, weapons, drugs, or dangerous goods.
3. If a creative is declined we do not refund the campaign fee; you may submit a replacement within the same month.
Article 7 (Creative Swaps)
1. Advertisers may swap creatives from the dashboard at any time, including mid-campaign.
2. The replacement creative is subject to a fresh review under Article 6.
3. The previous creative continues to serve until the new one is approved.
Article 8 (Conversion Measurement)
1. We independently measure impressions, clicks, and conversions.
2. Our measurements are the authoritative metric between the parties; differences with advertiser-side tracking are resolved in favour of our numbers.
3. Conversion tracking requires that the advertiser install our pixel on the relevant landing page.
Article 9 (Advertiser Responsibilities)
1. The advertiser bears sole responsibility for the legality, accuracy, and IP compliance of the creatives submitted.
2. The advertiser warrants that all products / services advertised hold any required licences or regulatory approvals.
3. We reserve the right of indemnification against the advertiser for claims arising from the ad content.
Article 10 (Suspension & Termination)
1. We may suspend the Service for maintenance, force majeure, or breach of these terms by the advertiser.
2. If we discontinue the Service ourselves, we refund the unserved portion of any active campaign.
Article 11 (Personal Information)
Personal information collected from advertisers is handled in accordance with our Privacy Policy.
Article 12 (Amendments)
We may revise these terms. Amendments take effect 30 days after notice via the dashboard or email to the advertiser's registered address.
Article 13 (Governing Law & Venue)
These terms are governed by the laws of Japan, with the Tokyo District Court designated as the exclusive court of first instance for any dispute.
